1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the omi website, products, account features, content, checkout, payment, and related services (collectively, the “Website”). The Website is owned and operated by Omi LLC (“Omi,” “we,” “us,” or “our”).
By accessing the Website, creating an account, submitting information, placing an order, checking any acknowledgement box, or purchasing any product, you agree to be bound by these Terms, our Privacy Policy, Indemnity Waiver, and any other policies linked on the Website.
If you do not agree to these Terms, or if you cannot truthfully make every representation required by these Terms, you must not access the Website, create an account, place an order, or purchase any product from Omi.
2. Research Use Only
All products sold by Omi are sold for Research Use Only. Products are intended solely for lawful, in-vitro laboratory research by qualified research professionals.
Products sold by Omi are not intended for:
- Human consumption, ingestion, injection, inhalation, topical application, implantation, or administration by any route.
- Animal consumption, veterinary use, animal testing, animal administration, or animal treatment.
- Diagnostic, therapeutic, clinical, medical, pharmaceutical, cosmetic, food, supplement, bodybuilding, athletic performance, weight-loss, anti-aging, or personal-use purposes.
- Use in humans or animals, whether supervised or unsupervised.
- Compounding, dispensing, prescribing, resale for personal use, or use as a drug, biologic, food, dietary supplement, cosmetic, medical device, or treatment.
Products are not approved by the U.S. Food and Drug Administration or any other regulatory authority for diagnosis, treatment, mitigation, prevention, cure, or management of any disease, condition, symptom, injury, or health outcome.
No statement on the Website, in product listings, in certificates of analysis, in customer service communications, in marketing materials, or in any related content is intended to be, or should be interpreted as, medical advice, veterinary advice, dosage guidance, administration guidance, treatment guidance, or a recommendation for human or animal use.
3. Buyer Eligibility and Required Acknowledgement
You may access product pages, create an account, place an order, or purchase products only if all of the following are true:
- You are at least 21 years old.
- You are a qualified research professional aged 21 or older.
- You are purchasing on behalf of a lawful laboratory, research organization, academic institution, company, or other qualified research setting.
- You have the training, facilities, equipment, procedures, and authorization necessary to receive, store, handle, and use research compounds safely and lawfully.
- Your intended use is limited to lawful laboratory research only.
- You will not use, direct others to use, or permit the use of any product for human or animal consumption, administration, diagnosis, treatment, prevention, cure, or personal use.
- You will comply with all applicable federal, state, local, institutional, and industry rules, laws, and regulations.
By using the Website or placing an order, you expressly acknowledge:
“All products are sold for Research Use Only. I confirm that I am a qualified research professional aged 21 or older. I acknowledge that all products in this order are intended for laboratory research purposes only, are not for human or animal consumption, and I agree to the Terms of Service and Indemnity Waiver.”
We may require account creation, age verification, identity verification, research-use acknowledgement, research-field designation, business or laboratory information, additional documentation, or other screening before allowing access, accepting an order, processing payment, or shipping products.
4. Account Requirement and Research Profile
Guest checkout is not permitted. Customers must create and maintain an account before purchasing.
When creating an account or completing a compliance profile, you may be required to provide information including, but not limited to:
- Organization, laboratory, institution, or business name.
- Role or title.
- Organization or laboratory type.
- Intended research setting.
- Field of qualified research.
- Confirmation of Research Use Only restrictions.
- Acceptance of these Terms and the Indemnity Waiver.
You agree that all account, organization, billing, shipping, research, and order information you provide is accurate, complete, current, and not misleading. You agree to promptly update your account information if it changes.
We may reject, suspend, restrict, or terminate any account if we determine, in our sole discretion, that the account information is incomplete, inaccurate, suspicious, inconsistent with lawful research use, associated with prohibited use, associated with chargeback or fraud risk, or otherwise unsuitable.
5. Prohibited Customers, Uses, and Destinations
You may not purchase, receive, possess, handle, transfer, resell, or use any product from Omi for any prohibited purpose.
Prohibited customers and uses include, without limitation:
- Individual consumer, personal, household, self-experimentation, or non-research use.
- Human or animal consumption, injection, dosing, administration, ingestion, inhalation, topical application, implantation, or therapeutic use.
- Use by or for med spas, anti-aging clinics, weight-loss clinics, TRT clinics, hormone clinics, wellness clinics, pharmacies, compounding pharmacies, gyms, bodybuilding groups, dormitories, residential treatment programs, or similar consumer/patient-oriented settings, unless we expressly approve the account in writing for a lawful qualified research purpose.
- Veterinary use, animal treatment, animal administration, or animal experimentation not expressly approved under applicable law and institutional protocols.
- Resale, redistribution, drop-shipping, relabeling, repackaging, compounding, dispensing, prescribing, or supplying to consumers, patients, athletes, animals, healthcare users, or unauthorized third parties.
- Use in violation of any applicable law, regulation, institutional policy, carrier requirement, payment processor rule, or these Terms.
- Any communication, order note, support request, review, social-media post, or other statement suggesting human use, animal use, dosing, administration, effects, health outcomes, treatment, diagnosis, or personal use.
If you indicate or imply prohibited use, we may cancel your order, refuse shipment, request additional information, restrict your account, permanently ban you from future purchases, deny refunds where permitted, preserve relevant records, and take any other action we consider appropriate.
6. No Medical, Veterinary, Dosing, or Administration Advice
Omi does not provide medical, veterinary, clinical, dosing, reconstitution, administration, injection, ingestion, protocol, treatment, or usage advice.
Customer service cannot answer questions about:
- Human or animal dosing.
- Routes of administration.
- Injection, ingestion, topical use, inhalation, or other bodily use.
- Reconstitution for human or animal administration.
- Personal protocols, cycles, stacking, timing, frequency, or amounts.
- Therapeutic effects, side effects, contraindications, drug interactions, or health outcomes.
- Treatment, prevention, cure, diagnosis, or management of any disease or condition.
Requests for this type of guidance may result in order cancellation, account restriction, refusal of future service, and documentation of the incident.
7. Product Information, COAs, and Scientific Data
Product information is provided for identification, quality-control, and laboratory research reference purposes only. Product pages may include information such as chemical name, sequence, molecular formula, molecular weight, CAS number, PubChem CID, format, purity, storage conditions, batch or lot number, and certificate of analysis.
Certificates of analysis and lab results are provided for batch-specific quality reference only. They do not authorize human or animal use and are not evidence that any product is safe, effective, approved, suitable, or lawful for any medical, therapeutic, diagnostic, clinical, veterinary, food, supplement, cosmetic, or personal-use purpose.
You are responsible for independently reviewing product information, confirming suitability for your lawful research purpose, following appropriate laboratory safety practices, and complying with all applicable laws and institutional requirements.
Product images, labels, descriptions, and technical information may be updated at any time. We do not warrant that product information is complete, current, or free from error, although we work to keep information accurate.
8. Product Handling and Storage
You are solely responsible for proper receipt, storage, handling, record keeping, disposal, and use of products after delivery.
You agree to:
- Handle products only in appropriate laboratory settings.
- Use qualified personnel and suitable equipment.
- Store products as indicated on the product listing, including refrigeration immediately upon delivery where cold storage is required.
- Follow applicable safety data sheets, institutional protocols, and legal requirements.
- Prevent access by unauthorized persons, minors, consumers, patients, animals, and household members.
- Maintain appropriate chain-of-custody and research records.
- Dispose of products and materials in accordance with applicable laws and laboratory safety procedures.
Omi is not responsible for degradation, contamination, mishandling, misuse, improper storage, unauthorized access, or any consequence after delivery.
9. Orders, Acceptance, and Right to Refuse Service
Your submission of an order is an offer to purchase. We may accept or reject any order in our sole discretion. Order confirmation, payment authorization, or automated emails do not guarantee acceptance, fulfillment, or shipment.
We may cancel, hold, refuse, limit, or require additional verification for any order for reasons including, without limitation:
- Compliance concerns.
- Prohibited-use concerns.
- Incomplete or inconsistent account, research, billing, or shipping information.
- Fraud, chargeback, risk, or suspicious activity.
- Product availability.
- Pricing, listing, inventory, technical, or typographical errors.
- Shipping restrictions.
- Payment processor, carrier, legal, or regulatory requirements.
We may limit quantities, restrict products, require signature on delivery, require delivery verification, request documentation, or refuse future service at our discretion.
10. Pricing, Availability, and Errors
Prices are displayed in the local currency of the market you are browsing — for example Mexican pesos (MX$), Dominican pesos (RD$), or Thai baht (฿) — for convenience. Orders are invoiced and settle in U.S. Dollars; the settlement amount is shown at checkout. Displayed local prices are marketing-facing amounts and are not a live currency conversion of the settlement price.
Prices, promotions, discounts, availability, product information, and shipping options may change without notice.
We reserve the right to correct errors, cancel affected orders, refuse fulfillment, or issue refunds for orders affected by pricing, product, inventory, shipping, tax, payment, or technical errors.
Discounts, promotional offers, and store credits are discretionary, non-transferable, may be modified or discontinued at any time, and may not be used in connection with fraud, abuse, prohibited use, or policy violations.
11. Payment and Billing
Payment must be completed before order processing or shipment. Accepted payment methods are limited to those made available at checkout, and currently include cryptocurrency payments processed by our third-party payment processor and, where offered, card payments (such as Visa, Mastercard, or Apple Pay) handled by third-party payment providers.
Cryptocurrency payments are subject to the following: the payable amount, accepted currencies, and network are quoted by the payment processor at checkout; on-chain transfers are final and irreversible once broadcast; you are responsible for sending the exact quoted amount on the exact network quoted; network, exchange, and transaction fees are your responsibility. Orders that arrive underpaid may be held until the difference is settled, completed at our discretion, or refunded after review.
You agree that:
- Billing information must be accurate and match the authorized payer.
- You are authorized to use the selected payment method or wallet.
- You will not initiate improper disputes, reversals, or chargebacks.
- Payments may be delayed, held, declined, cancelled, refunded, or reviewed for compliance, fraud, risk, or processor requirements.
- Currency conversion fees, bank fees, payment-provider fees, network fees, and rejected-payment fees are your responsibility.
We may refuse or cancel orders involving mismatched billing information, suspected fraud, prohibited use, excessive disputes, chargeback risk, or payment method concerns.
12. Shipping and Delivery Restrictions
Products are shipped only where we determine shipment is lawful, permitted by our carriers, and acceptable under our risk and compliance policies. We ship only to the markets selectable on the Website; destinations outside those markets are not supported unless expressly approved in writing.
We may refuse shipment to certain addresses or destination types, including, without limitation:
- P.O. boxes, mail drops, freight forwarders, reshippers, virtual offices, hotels, dormitories, temporary housing, or addresses that cannot support appropriate delivery verification.
- Med spas, weight-loss clinics, TRT clinics, hormone clinics, wellness clinics, gyms, pharmacies, compounding pharmacies, consumer clinics, or other destinations that raise prohibited-use concerns.
- Any destination restricted by law, carrier policy, payment processor rules, or Omi compliance review.
First-time customer orders may require identity verification, signature on delivery, or additional review before shipment. We may require signature confirmation for any order based on order value, risk, destination, customer history, or compliance review.
Delivery dates are estimates only and are not guaranteed. You are responsible for providing a complete, accurate, and deliverable shipping address. We are not responsible for delays, failed delivery attempts, incorrect addresses, carrier errors, weather, customs, theft, loss after confirmed delivery, refusal to sign, or inability to complete delivery.
Risk of loss passes to you upon delivery confirmation by the carrier, except where prohibited by law.
13. Returns, Refunds, Cancellations, and Chargebacks
Because products are research compounds, returns and refunds are limited and subject to compliance review.
Orders may be cancelled before processing or shipment at our discretion. Once an order has been processed, packed, transferred to fulfillment, or shipped, cancellation may not be available.
Refunds or replacements may be considered for:
- Incorrect item shipped.
- Damaged package reported promptly with photos and supporting documentation.
- Missing item verified by our fulfillment records.
- Merchant-side processing error.
Refunds or replacements may be denied for:
- Opened, used, altered, tampered, contaminated, improperly stored, or mishandled products.
- Customer remorse, change of mind, failure to read product information, or unsuitable intended use.
- Prohibited-use indications.
- Incorrect address supplied by customer.
- Failed delivery due to customer action or inaction.
- Refusal or inability to complete required signature, ID, or delivery verification.
- Carrier delay after shipment.
- Chargeback abuse, fraud, account misuse, or violation of these Terms.
Refunds for orders paid in cryptocurrency may be issued, at our discretion, in cryptocurrency or as value equivalent to the U.S. Dollar settlement amount of the order at the time of payment.
Do not return products without written authorization. Unauthorized returns may be refused, discarded, or ineligible for refund.
Any chargeback, payment dispute, reversal, or payment claim must be made in good faith. We reserve the right to suspend accounts, refuse future orders, provide records to payment processors, and pursue available remedies for improper disputes or chargebacks.
14. Customer Communications and Support
You agree not to use customer support, order notes, forms, reviews, social media, email, SMS, phone, or any other communication channel to request or share prohibited-use information.
We may document and retain communications involving prohibited-use language, suspicious activity, threats, fraud, abuse, or policy violations. We may refuse to respond to prohibited-use questions except to restate our Research Use Only policy.
15. Reviews, Testimonials, and User Content
You may not submit reviews, testimonials, photos, videos, comments, questions, or other content that states, implies, depicts, or promotes:
- Human or animal use.
- Dosing, administration, injection, ingestion, protocols, cycles, stacking, or personal use.
- Health, cosmetic, performance, bodybuilding, weight-loss, anti-aging, therapeutic, diagnostic, disease, symptom, recovery, or treatment outcomes.
- Before-and-after claims or transformation content.
- Illegal, misleading, unsafe, abusive, defamatory, infringing, or promotional content.
We may reject, remove, moderate, disable, or report user content at any time. Submission of prohibited content may result in account restriction, cancellation of orders, refusal of future service, and documentation of the incident.
16. No Affiliate, Influencer, or Unauthorized Promotion
Unless we expressly authorize a written arrangement that complies with all applicable laws and processor requirements, you may not promote, market, advertise, resell, distribute, or represent Omi products through affiliate programs, influencer content, sponsored content, medical claims, health claims, dosing guidance, human-use claims, animal-use claims, before-and-after content, or testimonials.
You may not use Omi’s name, trademarks, products, images, content, or website links in a way that implies human use, animal use, therapeutic benefit, personal use, or unauthorized endorsement.
17. Intellectual Property
All Website content, including text, images, graphics, logos, product photographs, design, layout, icons, code, and branding, is owned by or licensed to Omi and is protected by copyright, trademark, and other intellectual-property laws.
You may not copy, reproduce, modify, distribute, scrape, republish, sell, display, or use any Website content without our prior written permission, except for personal review of your own account and order information.
18. Privacy
Your use of the Website is subject to our Privacy Policy. By using the Website, creating an account, or placing an order, you consent to the collection, use, storage, and disclosure of information as described in our Privacy Policy and as necessary for compliance, fraud prevention, payment processing, shipping, record keeping, and enforcement of these Terms.
19. Third-Party Services
The Website may rely on third-party platforms and service providers, including authentication providers, payment processors (including cryptocurrency payment processors), hosting and database infrastructure, fraud-prevention tools, shipping carriers, analytics providers, email and SMS tools, and other vendors.
We are not responsible for third-party websites, policies, content, outages, decisions, delays, errors, or acts. Your use of third-party services may be subject to separate terms and policies.
20. Disclaimers
The Website and products are provided “as is” and “as available” to the fullest extent permitted by law.
To the fullest extent permitted by law, Omi disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted service, accuracy, and suitability for any intended research purpose.
We do not warrant that:
- Products are suitable for your specific research.
- Product information is complete or error-free.
- The Website will be uninterrupted, secure, or free of errors.
- Any product is safe or lawful for any use other than lawful laboratory research by qualified professionals.
Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.
21. Limitation of Liability
To the fullest extent permitted by law, Omi and its owners, officers, directors, employees, contractors, agents, affiliates, vendors, processors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including loss of profits, loss of data, business interruption, loss of goodwill, personal injury, property damage, regulatory action, or third-party claims, arising from or related to the Website, products, orders, shipping, communications, or these Terms.
To the fullest extent permitted by law, Omi’s total liability for any claim will not exceed the amount you paid to Omi for the specific product or order giving rise to the claim.
22. Indemnification
You agree to indemnify, defend, and hold harmless Omi and its owners, officers, directors, employees, contractors, agents, affiliates, vendors, processors, and service providers from and against all claims, demands, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- Your access to or use of the Website.
- Your purchase, possession, storage, handling, transfer, resale, disposal, or use of any product.
- Your breach of these Terms or any linked policy.
- Your violation of law, regulation, institutional policy, carrier policy, payment processor rule, or third-party right.
- Your misrepresentation, fraud, negligence, misconduct, prohibited use, or misuse of products.
- Any claim involving human use, animal use, administration, dosing, treatment, diagnosis, injury, loss, damage, or regulatory action connected to products purchased from Omi.
This indemnification obligation survives account termination, order completion, and any update to these Terms.
23. Suspension, Termination, and Ban List
We may suspend, restrict, terminate, or permanently ban any account or customer at any time, with or without notice, for reasons including, without limitation:
- Prohibited-use language or conduct.
- Suspected personal, human, animal, medical, therapeutic, or unlawful use.
- False, incomplete, or misleading account information.
- Fraud, abuse, threats, chargebacks, payment disputes, or suspicious activity.
- Violation of these Terms or linked policies.
- Processor, carrier, legal, regulatory, or compliance concerns.
Termination does not limit any rights or remedies available to Omi.
24. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming and applicable federal law, without regard to conflict-of-law principles.
To the fullest extent permitted by law, any dispute arising from or related to these Terms, the Website, products, orders, or communications with Omi must be brought in the state or federal courts located in Wyoming, and you consent to personal jurisdiction and venue in those courts.
25. Changes to Terms
We may update these Terms at any time. Updated Terms are effective when posted on the Website unless a later effective date is stated.
Your continued access to the Website, account use, or purchase after updated Terms are posted constitutes acceptance of the updated Terms. The version posted at the time of purchase may be retained for order and compliance records.
26. Severability
